These Payment Terms govern all payments made through the online marketplace platform, website, applications, and related services (collectively, the “Platform”) operated by [Marketplace Operator] (“Company,” “we,” “us,” or “our”).
These Payment Terms form part of, and are incorporated into, the Platform’s Terms of Use.
1. SCOPE AND APPLICABILITY
1.1 These Payment Terms apply to all Users engaging in transactions on the Platform.
1.2 The Platform facilitates digital-only transactions between Buyers and independent Sellers.
1.3 The Company acts solely as a technical payment facilitation intermediary and does not sell, license, or deliver any goods or services.
2. DIGITAL GOODS ONLY
2.1 No Physical Goods.
All products and services offered on the Platform are digital in nature, including AI-related knowledge products, digital files, virtual services, and online sessions.
2.2 No Shipping or Delivery Address.
No physical delivery, shipping, or logistics services are provided or supported.
2.3 Delivery Method.
Digital goods are delivered electronically through the Platform or via Seller-designated digital channels.
3. ACCEPTED PAYMENT METHODS
3.1 Supported Cards.
The Platform accepts payments only via:
- Visa
- Mastercard
No other card networks or payment methods are supported unless expressly stated.
3.2 Currency Handling.
Transaction currency availability is determined by the Platform and the payment processor. Currency conversion fees may be applied by the card issuer.
4. 3D SECURE (3DS) AND STRONG CUSTOMER AUTHENTICATION
4.1 Mandatory 3DS.
All card transactions are subject to 3D Secure (3DS) authentication, where supported or required.
4.2 Regulatory Compliance.
3DS is implemented to comply with:
- PSD2
- Strong Customer Authentication (SCA) requirements
4.3 Authentication Flow.
Buyers may be required to complete additional verification steps, including one-time passcodes, biometric authentication, or banking app approval.
4.4 Transaction Failure.
Failure to complete 3DS authentication may result in declined or cancelled transactions.
5. PAYMENT PROCESSING AND SECURITY
5.1 Third-Party Payment Processors.
All payments are processed by PCI DSS-compliant third-party payment service providers.
5.2 No Storage of Card Data.
The Company does not store, process, or transmit full cardholder data.
5.3 Tokenization.
Payment credentials are handled using secure tokenization mechanisms provided by the payment processor.
6. AUTHORIZATION, CAPTURE, AND SETTLEMENT
6.1 Authorization.
By submitting payment information, Buyers authorize the applicable charge.
6.2 Capture Timing.
Charges may be captured immediately upon transaction confirmation or as otherwise defined by the Platform workflow.
6.3 Failed Payments.
If payment authorization fails, the transaction will not be completed.
7. FEES AND TAXES
7.1 Platform Fees.
The Company may charge Sellers service or processing fees, as disclosed separately.
7.2 Taxes.
Sellers are solely responsible for determining, collecting, reporting, and remitting any applicable taxes.
The Company does not provide tax advice.
8. REFUNDS AND REVERSALS
8.1 Digital Goods Refund Policy.
Due to the nature of digital goods, all sales are final unless otherwise stated by the Seller or required by applicable law.
8.2 Statutory Rights.
Nothing in these Payment Terms limits mandatory consumer rights under applicable law.
8.3 Refund Method.
Approved refunds are issued to the original payment method.
9. CHARGEBACKS AND DISPUTES
9.1 Chargebacks.
Buyers are encouraged to contact the Seller directly before initiating a chargeback.
9.2 Improper Chargebacks.
Fraudulent or abusive chargebacks may result in account suspension or termination.
9.3 Evidence Submission.
Sellers authorize the Company to submit transaction records and digital delivery evidence in response to chargebacks.
10. FRAUD PREVENTION AND TRANSACTION MONITORING
10.1 Transactions may be monitored for fraud, abuse, or regulatory compliance.
10.2 The Company reserves the right to:
- Delay or block suspicious transactions
- Suspend accounts associated with fraudulent activity
11. PAYMENT FAILURES AND ERRORS
11.1 The Company is not responsible for:
- Card issuer declines
- Network outages
- 3DS authentication failures
11.2 Users are responsible for ensuring valid payment details.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by law, the Company shall not be liable for losses arising from:
- Payment authorization failures
- Chargebacks
- Currency conversion fees imposed by issuers
13. MODIFICATION OF PAYMENT TERMS
The Company may update these Payment Terms at any time. Continued use of the Platform constitutes acceptance of revised terms.
