These Terms of Use (“Terms”) govern access to and use of the online marketplace platform, website, applications, and related services (collectively, the “Platform”) operated by [Marketplace Operator] (“Company,” “we,” “us,” or “our”).

The Platform provides a technological venue only that enables independent third-party sellers (“Sellers”) to offer AI-related digital knowledge products and services to buyers (“Buyers”). The Company does not sell, license, employ, endorse, verify, or control any Seller or Seller offerings.

By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not access or use the Platform.


1. DEFINITIONS

1.1 “AI Knowledge Products”

Means digital or virtual products and services related to artificial intelligence, including but not limited to prompts, workflows, datasets, model configurations, consulting services, training sessions, educational materials, code snippets, documentation, and similar intellectual products.

1.2 “Content”

Means any text, code, data, files, images, audio, video, or other materials made available through the Platform.

1.3 “User”

Means any individual or entity accessing or using the Platform, including Buyers and Sellers.


2. PLATFORM ROLE AND NO AGENCY

2.1 Marketplace Only.

The Platform is a neutral technological marketplace. The Company is not a seller, buyer, employer, contractor, agent, partner, fiduciary, or joint venturer of any User.

2.2 No Control Over Transactions.

All transactions occur directly between Buyers and Sellers. The Company does not control pricing, representations, licensing terms (except as required by these Terms), delivery, or outcomes.

2.3 No Professional Advice.

Nothing on the Platform constitutes legal, medical, financial, regulatory, or professional advice.


3. ELIGIBILITY AND ACCOUNTS

3.1 Eligibility.

You must be at least 18 years old and have legal capacity to enter into binding contracts.

3.2 Account Accuracy.

Users must provide accurate, complete, and current information and maintain the security of their credentials.

3.3 Account Responsibility.

You are responsible for all activity conducted through your account.


PART A — SELLER TERMS

4. SELLER ELIGIBILITY AND OBLIGATIONS

4.1 Independent Status.

Sellers operate as independent parties and are solely responsible for their business, taxes, compliance, and obligations.

4.2 Compliance With Law.

Sellers must comply with all applicable laws, regulations, export controls, AI governance rules, and intellectual property laws.

4.3 Accurate Listings.

All listings must be truthful, clear, and not misleading.


5. INTELLECTUAL PROPERTY OWNERSHIP AND LICENSING

5.1 Ownership.

Sellers retain ownership of their AI Knowledge Products unless otherwise stated.

5.2 License to Buyers.

Sellers grant Buyers a limited, non-exclusive, non-transferable license strictly as described in the listing and subject to these Terms.

5.3 License to Platform.

Sellers grant the Company a worldwide, non-exclusive, royalty-free license to host, display, distribute, and promote Seller Content solely to operate the Platform.


6. SELLER REPRESENTATIONS AND WARRANTIES

Sellers represent and warrant that:

6.1 They own or have sufficient rights to all Content provided.

6.2 Their products do not infringe intellectual property, privacy, publicity, or contractual rights.

6.3 Content is lawful and does not include malware, hidden exploits, or harmful code.

6.4 Claims about performance, accuracy, or outcomes are not deceptive.


7. AI-SPECIFIC SELLER OBLIGATIONS

7.1 Responsible AI Use.

AI Knowledge Products must not promote illegal, harmful, discriminatory, or unsafe AI applications.

7.2 Limitations Disclosure.

Sellers must clearly disclose known limitations, assumptions, and risks of AI outputs.

7.3 Training Data Transparency (Where Applicable).

If relevant, Sellers must disclose whether proprietary, licensed, public, or synthetic data was used, to the extent legally permitted.

7.4 No Regulated Advice.

Sellers must not present AI outputs as professional advice without appropriate licensing and disclaimers.


8. PROHIBITED SELLER CONDUCT

Sellers may not:

8.1 Plagiarize or misappropriate third-party content.

8.2 Circumvent Platform fees or payment systems.

8.3 Make false claims about AI capabilities or results.

8.4 Sell products designed to bypass safeguards, exploit vulnerabilities, or facilitate wrongdoing.

8.5 Use the Platform for spam, fraud, or deceptive practices.


9. SELLER SUSPENSION AND TERMINATION

9.1 Enforcement.

The Company may suspend or terminate Seller accounts at its sole discretion for violations.

9.2 Consequences.

Termination may result in removal of listings, forfeiture of unpaid balances, and permanent account bans.


PART B — BUYER TERMS

10. SCOPE OF LICENSE AND PERMITTED USE

10.1 Limited License.

Buyers receive only the license explicitly granted by the Seller.

10.2 Internal Use Default.

Unless stated otherwise, licenses are for personal or internal business use only.


11. USE RESTRICTIONS

Buyers may not:

11.1 Redistribute, resell, sublicense, or publicly share AI Knowledge Products.

11.2 Use products to train, fine-tune, or augment AI models unless explicitly permitted.

11.3 Remove attribution, copyright notices, or usage restrictions.

11.4 Use products for unlawful or harmful purposes.


12. AI RISK DISCLOSURES AND “AS-IS” PRODUCTS

12.1 AI Uncertainty.

AI outputs may be inaccurate, incomplete, biased, or unpredictable.

12.2 As-Is.

All AI Knowledge Products are provided “AS IS” and “AS AVAILABLE.”


13. BUYER RESPONSIBILITIES

13.1 Buyers are responsible for evaluating suitability, compliance, and results.

13.2 Buyers must comply with all applicable laws and regulations.


14. REFUNDS, DISPUTES, AND CHARGEBACKS

14.1 Refund Policy.

Refund eligibility is determined by the Seller’s stated policy, if any.

14.2 Disputes.

Disputes are between Buyer and Seller. The Company may facilitate but has no obligation to resolve disputes.

14.3 Chargebacks.

Improper chargebacks may result in account suspension.


PART C — GENERAL TERMS

15. PLATFORM DISCLAIMERS

15.1 The Company does not guarantee accuracy, quality, legality, or outcomes of AI Knowledge Products.

15.2 The Company is not responsible for Buyer–Seller disputes.

15.3 The Company does not verify Seller credentials or expertise.


16. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


17. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED FEES PAID TO THE COMPANY IN THE PRECEDING TWELVE (12) MONTHS.


18. INDEMNIFICATION

Users agree to indemnify and hold harmless the Company from claims arising out of their Content, conduct, or violation of these Terms.


19. GOVERNING LAW AND DISPUTE RESOLUTION

19.1 Governing Law.

These Terms are governed by the laws of [Jurisdiction Placeholder], without regard to conflict-of-law principles.

19.2 Dispute Resolution.

Disputes shall be resolved through binding arbitration or courts located in [Jurisdiction Placeholder], as determined by the Company.


20. MODIFICATION OF TERMS

21. SEVERABILITY AND ENTIRE AGREEMENT

If any provision is held unenforceable, the remainder shall remain in full force. These Terms constitute the entire agreement between Users and the Company.
